Terms of Use
The important part
- YellowBAS is self-help software. It prepares a draft of your BAS figures from the records you give it.
- YellowBAS and MMVP Pty Ltd are not registered tax agents or BAS agents. YellowBAS does not give tax, financial or legal advice.
- YellowBAS does not lodge anything with the ATO. You decide what goes on your BAS, and you or your registered agent lodge it.
- You are responsible for checking every figure before you use it. If you are unsure, ask a registered tax or BAS agent.
1. About these terms
These terms apply when you use YellowBAS at yellowbas.com.au or any copy of it we make available (the "service"). The service is provided by MMVP Pty Ltd trading as YellowBAS (ABN 29 629 141 055), New South Wales, Australia ("we", "us"). By using the service you agree to these terms. If you use it for a business, you confirm you are allowed to accept these terms for that business.
2. What YellowBAS does
YellowBAS reads the bank statements, receipts, invoices and templates you choose, suggests how transactions may be treated for GST, and calculates draft figures for labels such as G1, 1A, 1B, W1 and W2. It produces a draft summary and worksheets (PDF and Excel) for you to review. Every suggestion can be changed by you. The service is currently a free beta.
3. Not a registered agent, not advice
Neither YellowBAS nor MMVP Pty Ltd is registered with the Tax Practitioners Board as a tax agent or BAS agent, and we do not represent that we are. The service is general-purpose software and information, not tax, financial, accounting or legal advice, and it does not take your full circumstances into account. Nothing in the service should be treated as a recommendation about how you should complete or lodge your BAS.
Using YellowBAS does not give you the protections that may apply when you use a registered tax or BAS agent (for example, the ATO's safe harbour from certain penalties).
4. A draft only: you check and you lodge
The figures YellowBAS produces are a draft. They are not an ATO form and are not lodged by us. Before you lodge a BAS or rely on any figure, you (or your registered agent) must check it against your records and the law, decide the correct GST and PAYG treatment, and make any corrections. You remain responsible for the BAS you lodge and for any tax, penalties or interest that follow from it.
5. Known limitations
Please be aware that, among other things:
- reading PDFs, photos and bank files can miss or misread lines, dates or amounts;
- automatic categories and GST suggestions are based on general patterns and can be wrong for your business;
- items may be GST-free, input taxed, private, partly private, capital, or need apportionment, and the software may not recognise this;
- the cash and accrual methods, adjustments, instalments and other obligations may need treatment the software does not handle;
- results depend entirely on the records you provide being complete and correct.
6. Your responsibilities
- Use only records that belong to you or that you are authorised to use.
- Make sure the information you enter is accurate and complete, and that your settings (such as GST registration and accounting method) are correct.
- Keep your own records as required by law (for most businesses, five years) and keep your own copies of drafts and exports. Drafts saved in your browser can be lost if browser data is cleared.
- Keep your device secure: your documents and drafts are stored on it, not with us.
7. Your account and acceptable use
To download reports on the website you sign in with an email address you control; keep access to that mailbox secure, because anyone who can read it can sign in as you. One account is for one person or business, and plan limits (such as the number of businesses) apply per account. You can delete your account at any time from the account menu; your drafts in your browser are not affected. The YellowBAS app on your own computer and everything you have already downloaded keep working without an account.
Do not misuse the service: for example, do not try to break or overload it, get around its security or plan limits, share your account, use the phone transfer to store or share anything other than your own documents for YellowBAS, or use the service unlawfully. We may restrict access if the service is misused.
8. Beta, changes and availability
YellowBAS is in beta. Features may change, have errors, be unavailable from time to time, or be withdrawn. We will take reasonable care in providing the service, but we do not promise it will be uninterrupted or error-free. We may change or end the free service; if we plan to introduce fees, we will tell you on the site first, and you will not be charged without agreeing.
9. Privacy
Your documents and figures are processed in your browser and are not uploaded to us. Our Privacy Policy explains what information we do handle, including your account (email address, plan and a scrambled count of businesses), website analytics, the encrypted phone transfer and messages you send through the contact form.
10. Ownership
We own the YellowBAS software, name and design. You may use them only to use the service. Your records, drafts and exports belong to you.
If you send us feedback or ideas, we may use them to improve YellowBAS without owing you anything for them. Only attach files you are allowed to share, and remove other people’s personal information first.
11. Your rights under Australian Consumer Law
Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. Where the law allows us to limit our liability for failing to meet a consumer guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.
12. Limitation of liability
To the extent permitted by law, and subject to section 11:
- we are not liable for any loss that arises because figures from the service were lodged or relied on without being checked as described in section 4, including tax shortfalls, penalties, interest or the cost of amending a BAS;
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or opportunity;
- our total liability in connection with the service is limited to the greater of the amount you paid us for the service in the previous 12 months and AUD 100.
These limits do not apply to liability that cannot be limited by law, or to loss caused by our fraud or wilful misconduct.
13. Changes to these terms
We may update these terms, for example when the service changes. We will publish the new version on this page with a new date and point out material changes on the site before they take effect. Changes do not apply to use before they take effect. If you do not agree with a change, you can stop using the service.
14. Governing law
These terms are governed by the law of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts that can hear appeals from them.
